Sub Limit Co-Working Lounge

I desire to attend the Organization on a one-day Membership (“Membership”) for an Event (”Event”). I understand that the Membership allows me certain access to offices, equipment, conference rooms, televisions, Wi-Fi, and lounges at the Organization. As a Member I am responsible for adhering to the Organization’s rules and regulations and for my own conduct while at the Organization and attending the Event. My one-day Membership terminates at the conclusion of the Event. In exchange for being allowed to attend the Event and enter the Organization and for other good and valuable consideration, the receipt and sufficiency of which I acknowledge, I hereby freely, voluntarily, and without duress execute this Release and agree to the following terms:

1. Assumption of Risk. I acknowledge that I am voluntarily attending the Organization as a Member on a one-day Membership. I hereby expressly and specifically assume the risk, including any and all risk of injury, harm, or loss that I may incur as a result of my attendance at the Event held at the Organization.

2. Release and Waiver. I hereby fully and forever release and discharge the Organization from, and expressly waive, any and all liability, claims, and demands of whatever kind or nature, either in law or in equity, that may arise from my attendance at the Event. I covenant not to make or bring any such claim or demand against the Organization, and fully and forever release and discharge the Organization from liability under such claims or demands. This Release is made on behalf of me and my heirs, executors, administrators, successors and assigns.

I UNDERSTAND THAT THIS RELEASE DISCHARGES THE ORGANIZATION FROM ANY LIABILITY OR CLAIM THAT I MAY HAVE AGAINST THE ORGANIZATION WITH RESPECT TO ANY BODILY INJURY, PERSONAL INJURY, ILLNESS, DEATH, PROPERTY DAMAGE, OR PROPERTY LOSS THAT MAY RESULT FROM MY ATTENDANCE AT THE ORGANIZATION, WHETHER CAUSED BY THE NEGLIGENCE OF THE ORGANIZATION OR OTHERWISE.

3. COVID Release. The risk to have direct or indirect contact with individuals who have been exposed to and/or diagnosed with one or more communicable diseases, including but not limited to COVID-19 or other medical conditions, diseases, or maladies, and/or any mutation or variation thereof does exist and it is impossible to eliminate the risk that I could become infected through contact with or close proximity to an individual with a communicable disease. Contracting COVID-19 may result in serious health issues for me and/or individuals I subsequently comes into contact with, and while particular rules, equipment, and personal discipline may reduce the risk of contracting the virus, the risk can never be completely removed. I KNOWINGLY AND FREELY ASSUME ALL SUCH RISKS, both known and unknown, EVEN IF ARISING FROM THE NEGLIGENCE OF THE ORGANIZATION or others, and assume full responsibility for my attendance at the Event; and I willingly agree to comply with the stated and customary terms and conditions for participation. If, however, I observe any unusual, significant hazard during my presence or attendance at the Event, I will remove myself from participation and bring such hazard to the attention of the Organization.

4. Damage. I agree to be personally liable and financially responsible for all loss of and damage caused to any equipment or facilities I utilize during the Event. I agree to pay for all loss and damage directly to the Organization’s facilities and/or equipment immediately upon demand by the Organization. In addition, I agree to pay for the loss of use of the Organization’s equipment from the date I damaged the equipment until repaired and replaced, not to exceed fourteen (14) days. In the event my personal property is damaged during my Membership, I waive and release the Organization from any liability or cost associated therewith.

5. Indemnification. I hereby agree to indemnify, defend, and hold harmless the Organization from any and all liability, losses, damages, judgments, or expenses, including attorneys' fees that it may incur or sustain as a result of my attendance at the Event, or arising out of any third-party claim.

6. Photographic Release. I understand and agree that during while attending the Organization, I may be photographed and/or videotaped by the Organization for internal and/or promotional use. I hereby grant and convey to the Organization all right, title, and interest, including but not limited to, any royalties, proceeds, or other benefits, in any and all such photographs or recordings, and consent to the Organization's use of my name, image, likeness, and voice in perpetuity, in any medium or format, for any publicity without further compensation or permission.

7. Miscellaneous. I hereby agree that this Release represents the full understanding between the Organization and me as to the terms and conditions outlined herein, and supersedes all other prior agreements, understandings, representations, and warranties, both written and oral, between us, with respect to the subject matter hereof. If any term or provision of this Release shall be held to be invalid by any court of competent jurisdiction, that term or provision shall be deemed modified so as to be valid and enforceable to the full extent permitted. The invalidity of any such term or provision shall not otherwise affect the validity or enforceability of the remaining terms and provisions.

BY SIGNING, I ACKNOWLEDGE THAT I HAVE READ AND UNDERSTOOD ALL OF THE TERMS OF THIS RELEASE AND THAT I AM VOLUNTARILY GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE THE ORGANIZATION.
